Freelance Software Development Agreement Between JavelosaPrimeDev and Client

a. Names of the Parties

This agreement is between Bryan Javelosa ("Freelancer") and the individual or business entity receiving services ("Client").

b. Scope of Work

The Freelancer will perform software development services as agreed upon, including but not limited to front-end development, back-end development, mobile app development, web deployment, and database integration.

c. Project Timeline

Work will begin on [Start Date] and is expected to be completed by [End Date], unless extended through mutual agreement. Timelines are flexible based on project complexity and Client responsiveness.

d. Payment Terms

• Rate: $5/hour, 8 hours/day, 6 days/week, or a fixed-rate per project.
• Payment Schedule:
  • 10% downpayment before gathering project requirements
  • 10% after design approval
  • 15% per 25% development milestone (60% total)
  • 10% after testing phase
  • 10% before final deployment
• Accepted Methods: PayPal, Bank Transfer, GCash, or other mutually agreed channels.

e. Deliverables

• Source code and compiled application (if applicable)
• Deployment-ready files or server setup
• Project credentials and technical documentation (if included in the scope)

f. Revisions Policy

The agreement includes up to two (2) revision rounds within the original scope. Revisions outside the scope, feature additions, or excessive revisions may require additional charges or an extended timeline.

g. Intellectual Property Rights

The Client will own all intellectual property associated with the project upon full payment. Until payment is completed, the Freelancer retains all rights to the work and may suspend delivery.

h. Project Feature Notice

By agreeing to this contract, the Client allows the Freelancer to feature the project on javelosaprimedev.com under the "Projects" section. Only a screenshot, general project description, and the Client's nickname will be published — no sensitive or identifying data will be shown.

i. Confidentiality

The Freelancer agrees to protect any confidential or proprietary information shared by the Client. Such data will not be shared, sold, or reused outside of this project unless legally required.

j. Indemnification

Both parties agree to indemnify and hold each other harmless from claims, losses, or legal actions arising from misuse of the project or breach of contract.

k. Termination

Either party may terminate this agreement with written notice. In case of early termination:

• The Client shall pay for all work completed up to the termination date.
• Partial deliverables will be provided for the portion paid.
• Downpayments are 80% refundable only if no work has been started.

l. Refund Policy

Refunds are granted only if the project is cancelled before development begins. No refunds will be issued for completed work, design approvals, or delivered milestones.

m. No Illegal Use Disclaimer

The Freelancer does not create software intended for illegal use — including but not limited to: hacking, phishing, scam sites, or gambling (in prohibited regions). If the Client uses the software for unlawful purposes, the Freelancer is not liable for resulting consequences.

n. Support & Maintenance (Optional)

Ongoing support, maintenance, updates, and bug fixes are not included unless explicitly agreed. These services may be offered separately at an additional cost.

o. Third-Party Tools & Licenses

If the project involves paid third-party services, such as APIs, cloud hosting, or libraries, the Client is responsible for all costs unless already included in the proposal. The Freelancer may assist with integration.

p. Force Majeure

The Freelancer shall not be held responsible for delays caused by events beyond control — such as natural disasters, internet blackouts, war, or government restrictions.

q. Client Cooperation

The Client agrees to communicate clearly, provide necessary access and materials, and respond within a reasonable timeframe. Delays caused by Client inaction may affect the timeline.

r. Agreement Binding and Signatures

This agreement becomes effective upon mutual approval (written or digital). Both parties acknowledge they have read and agreed to all terms.

s. Post-Delivery Liability Clause

Once the project has been delivered and accepted, the Freelancer shall not be held liable for any modifications, misconfigurations, misuse, or exposure of the source code, documentation, or assets by the Client or any third party. Any damages, legal issues, or intellectual property violations arising after delivery are the full responsibility of the Client. If the Client wishes for continued liability protection or maintenance, a separate support agreement must be signed.
